License
This licensing agreement is made between Produce UI (“Licensor”) and the individual or entity downloading, accessing, or using the Figma component library (“Licensee”).
By downloading, copying, accessing, or using the Produce UI Figma component library, Licensee acknowledges that it has read this Agreement, understands it, and agrees to be bound by its terms and conditions.
License Grant
Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Figma component library solely for the purpose of designing and developing digital products and services.
Ownership and Restrictions
The Figma component library is the property of Licensor and is protected by copyright laws and international treaties. Licensee acknowledges that Licensor retains all right, title, and interest in and to the Figma component library, and that this Agreement does not grant any ownership interest to Licensee. Licensee may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Produce UI’s Figma component library.
Fees
Licensee agrees to pay the fees specified by Licensor for use of the Figma component library. The fees are non-refundable and non-transferable.
Term and Termination
This Agreement will remain in effect until terminated by either party. Licensor may terminate this Agreement immediately if Licensee breaches any of the terms and conditions of this Agreement. Upon termination, Licensee must immediately cease all use of the Figma component library.
Warranty and Liability
Licensor warrants that it has the right to license the Figma component library to Licensee. The Figma component library is provided “as is” and Licensor makes no representations or warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Licensor shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to this Agreement.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India, without giving effect to its conflicts of law provisions.
Entire Agreement
This Agreement constitutes the entire agreement between Licensor and Licensee with respect to the Produce UI Figma component library and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between Licensor and Licensee.
